These Terms of Service ("Terms") govern your access to and use of the Logic Hub software platform and any related services provided by Growth Logic (Pty) Ltd ("Growth Logic", "we", "us", "our"). By opening an account, starting a trial, subscribing, or engaging us for services, you ("you", "the client", "the subscriber") agree to these Terms. Please read them carefully.

1. Definitions
- "Logic Hub" — the software-as-a-service platform provided by Growth Logic, including bookings, invoicing, point-of-sale, pipeline, review automation, messaging, and related features offered from time to time.
- "Services" — collectively, the Logic Hub platform (the "Software") and any professional or agency services we provide (the "Agency Services"), such as website and PWA builds, automation development, and setup and onboarding.
- "Your Data" — all data you or your customers submit to or generate through the Services, including contacts, bookings, invoices, sales and messages.
- "Your Customers" — the end customers of your business whose personal information you process using the Services.
- "Subscription" — a paid plan giving you access to Logic Hub, billed monthly or annually.
2. The Services
2.1 Logic Hub (Software)
Logic Hub is an online platform that helps you run your business including the aspects of bookings and reminders, quotes and invoices, a point-of-sale, a pipeline, review invitations, messaging and related tools. We provide it on a subscription basis, on an "as is" and "as available" basis, and we may add, change or remove features over time to improve the platform.
2.2 Agency Services
Separately, Growth Logic provides professional services such as website and progressive web app builds, WhatsApp and n8n automation, AI builds, and Logic Hub setup and onboarding. Agency Services are scoped, quoted and delivered under a separate proposal or statement of work, which is incorporated into these Terms for that engagement. Where a proposal conflicts with these Terms for that specific engagement, the proposal prevails.
3. Accounts, trial and eligibility
- You must provide accurate account information and keep it up to date. You are responsible for activity under your account and for keeping your login credentials secure.
- You must be at least 18 years old and authorised to bind your business to these Terms.
- Free trial: where we offer a free trial (currently 7 days, subject to change), you may use Logic Hub during the trial at no charge. We will tell you when the trial ends and what happens next. No payment card may be required to start.
- One account per business unless otherwise agreed.
4. Fees, billing and price commitments
- Logic Hub is offered at the price shown at sign-up (currently R489 per month, or an annual equivalent), in South African Rand. Prices exclude VAT unless stated.
- Fees are billed in advance, monthly on your billing date, or annually where you choose an annual plan, by PayFast debit order or another method we make available. The first month may be pro-rated.
- Agency Services are billed as set out in the applicable proposal; setup or onboarding fees are typically payable upfront before work begins.
- We may change standard pricing on reasonable notice (at least 30 days). Changes do not affect the current paid period.
- Failed or reversed payments: if a payment fails, we may suspend access until it is resolved. Persistent non-payment may result in cancellation.
- Founding member and referral discounts may apply from time to time as indicated on the invoice accordingly.
5. Cancellation and refunds
- Subscriptions are month-to-month unless you are on an annual plan. You may cancel at any time with effect from the end of your current billing period. The current period is billed in full and is not refunded, except where required by law.
- Annual plans run for their term and we do not refund the unused portion of an annual term unless required by law or expressly agreed.
- We may suspend or terminate your access for breach of these Terms, non-payment, or misuse of the Services.
6. Your responsibilities and acceptable use
You are responsible for how you use the Services and what you send through them. You agree not to:
- Use the Services to send unlawful, misleading, harassing or unsolicited communications, or to breach any messaging-platform rules (including WhatsApp's and any provider's rules) or applicable law.
- Send messages to people who have not consented to be contacted, or after they have opted out.
- Upload unlawful content, infringe others' rights, or attempt to breach, disrupt or reverse-engineer the platform.
- Resell or provide the Software to third parties except as expressly permitted.
You are responsible for the accuracy and lawfulness of Your Data and for having the necessary rights and consents to process Your Customers' personal information using the Services.
7. Messaging (WhatsApp, email and SMS)
- The Services send communications on your behalf (for example booking confirmations, reminders, invoices and review invitations). You are responsible for ensuring these communications comply with applicable consent and fair-messaging requirements, including POPIA.
- Messaging may be sent from a Growth Logic line or, where enabled, your own connected number. Messaging is subject to fair-use limits and to the rules of the underlying messaging platforms and providers, which are outside our control.
- We are not liable for interruptions, delays, blocks or account restrictions imposed by a messaging platform or provider.
8. Reviews and reputation features
Where the Services include review invitations, every one of Your Customers who is invited receives the same invitation to review your business on Google. We do not withhold, filter or vary the Google review invitation based on a customer's expected or actual rating.
Separately, the Services may allow Your Customers to share private feedback with you directly. This private-feedback channel is in addition to, and never a substitute for, the standard Google review invitation, which is offered to every invited customer on the same basis. This keeps your use of the review features consistent with Google's review policies. You remain responsible for how you respond to feedback and for compliance with the review platforms' own policies.
9. Data protection (POPIA)
- For personal information you process using the Services, you are the Responsible Party and Growth Logic acts as your Operator, processing that information on your behalf and on your instructions, in line with the Protection of Personal Information Act, 2013 (POPIA).
- We will process Your Data only to provide the Services, apply appropriate security safeguards, and not use Your Customers' personal information for our own unrelated purposes.
- You are responsible for having a lawful basis and any necessary consent to collect and process Your Customers' personal information, and for your own POPIA obligations as Responsible Party.
- A separate Data Processing Addendum (DPA) governs the details of this processing and forms part of these Terms.
- Data processing may take place in regions outside of the Republic of South Africa. For example, data may be hosted in the EU where the GDPR takes effect and is therefore compliant with the regulations of POPIA.

10. Data ownership and export
- You own Your Data. We do not claim ownership of it.
- You may export Your Data while your subscription is active. On cancellation, we will make a data export available to you within a reasonable period (as set out in the DPA), after which we may delete it in the ordinary course.
- You grant us the limited right to host, process and transmit Your Data solely to provide the Services.
11. Intellectual property
- Growth Logic owns all intellectual property in the Logic Hub platform, its software, design and content. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, and nothing more.
- For Agency Services, ownership of deliverables (for example a website we build for you) is as set out in the applicable proposal; unless stated otherwise, ownership transfers to you on full payment, while we retain rights in our underlying tools, templates and know-how.
- Feedback you give us about the Services may be used by us to improve them, without obligation to you.
12. Third-party services
The Services rely on third-party providers (for example messaging providers, payment processors such as PayFast, hosting and AI providers). Your use may be subject to their terms, and we are not responsible for their acts, omissions, availability or pricing. Third-party fees passed through to you, if any, will be made clear.
13. Service availability and support
- We aim to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. The Services may be unavailable during maintenance or due to factors outside our control.
- Support is provided as described at your plan level or in your proposal. Reasonable-effort response times may be stated separately and are not guarantees unless expressly agreed.
14. Disclaimers and limitation of liability
To the maximum extent permitted by law:
- The Services are provided "as is" and "as available", without warranties of any kind except those that cannot be excluded under law, including the Consumer Protection Act where it applies.
- We are not liable for indirect, incidental, special or consequential loss, loss of profits, revenue, data or business, arising from your use of or inability to use the Services.
- Our total liability for any claim arising out of or relating to the Services is limited to the fees you paid to us for the Services in the three months before the event giving rise to the claim.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under South African law.
15. Indemnity
You agree to indemnify Growth Logic against claims, losses and costs arising from your breach of these Terms, your misuse of the Services, your communications to Your Customers, or your failure to meet your own legal obligations (including POPIA obligations as a Responsible Party).
16. Changes to these Terms
We may update these Terms from time to time. Where changes are material, we will give you reasonable notice (for example by email or in-app). Continued use of the Services after changes take effect means you accept the updated Terms.
17. Term, suspension and termination
- These Terms apply for as long as you use the Services.
- Either party may terminate a month-to-month subscription with effect from the end of the current billing period.
- We may suspend or terminate access immediately for serious breach, unlawful use, non-payment, or where required to protect the Services or other users.
- On termination, your right to use the Services ends; provisions that by their nature survive (ownership, liability, indemnity, data export) continue to apply.
18. General
- Governing law — these Terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts.
- Entire agreement — these Terms, together with any applicable proposal, the DPA and the Privacy Policy, form the entire agreement between you and Growth Logic regarding the Services.
- Severability — if any provision is found unenforceable, the rest remain in effect.
- No waiver — our failure to enforce a provision is not a waiver of it.
- Assignment — you may not assign these Terms without our consent; we may assign them to a successor of our business.
